01Agreement

These Terms of Service (“Terms”) govern your access to cyberknockouts.com and related communications with Vitaliti World, LLC (“Vitaliti,” “we,” “us”), doing business as CyberKnockouts. CyberKnockouts is a brand of Vitaliti World, LLC. By using this site, requesting a preview, or engaging our services, you agree to these Terms.

02Services

CyberKnockouts provides websites, admin software, payment integrations, and local SEO for martial arts academies. Current offerings include a website rebuild, an admin panel, Stripe payments, and local SEO, as described on this site.

A free 24-hour preview is an evaluation of proposed work. It is not a finished deliverable and does not create an obligation to buy until you accept and we invoice.

Paid work — including one-time rebuilds, retainers, and the admin panel — is confirmed by invoice or written order. If an invoice or order conflicts with these Terms, the invoice or order controls for that engagement.

03Fees, preview, and cancellation

Listed prices on this site are current offers, not a bid. We may change them for new work. Taxes, Stripe processing fees charged to an academy’s customers, and third-party costs are extra unless an invoice says otherwise.

The preview itself is free. No payment is due until you accept the work.

Monthly retainers are month-to-month. You may cancel a retainer at any time; cancellation stops future monthly charges and does not refund a one-time rebuild or package already delivered. We may suspend or end a retainer for non-payment.

04Acceptable use

You agree not to misuse this website, attempt unauthorized access to our systems, scrape or overload the site, or use our forms and communications for spam, abuse, or unlawful purposes.

You represent that information you submit (including academy name, contact details, and current software) is accurate to the best of your knowledge, and that you are authorized to request work for that academy.

05Intellectual property

Site content, branding, and materials on cyberknockouts.com are owned by Vitaliti or its licensors unless otherwise agreed in writing.

For paid website work, you receive a license to use the delivered academy site for your business. We retain our platform, templates, tools, and pre-existing code. Custom copy and artwork created for your academy are licensed to you for that academy’s use. Third-party fonts, photos, and libraries remain under their own licenses.

Client work product ownership for custom software may be set out in the applicable invoice or order.

06Payments and Stripe

Fees you pay us for CyberKnockouts services are charged by Vitaliti. Card processing for those fees may run through Stripe.

When an academy’s members pay tuition or other charges through a CyberKnockouts-built site or admin panel, those charges belong to the academy. They are processed on the academy’s Stripe account (or other processor the academy connects). Our mark does not appear on a student’s card statement. Stripe’s terms apply to that processing.

07Disclaimers

This website is provided “as is.” To the fullest extent permitted by law, Vitaliti disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement regarding informational content on this site.

We do not guarantee search rankings, enrollment numbers, or a specific dollar amount of processing savings. ROI figures on this site are estimates.

08Limitation of liability

To the fullest extent permitted by law, Vitaliti is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of this website or our services.

Vitaliti’s total liability for paid CyberKnockouts engagements is limited to the fees you paid us for the engagement giving rise to the claim, except where the law does not allow that limit.

09Governing law

These Terms are governed by the laws of the State of South Dakota, without regard to conflict-of-law principles. Venue for disputes relating to this website or CyberKnockouts services lies in the state or federal courts located in South Dakota.

10Changes

We may update these Terms. The effective date above will change when we do. Continued use of the site after an update constitutes acceptance of the revised Terms.
